Terms and Conditions

These Terms and Conditions govern your use of the Leadership Counselling website, complimentary fit conversations, one-to-one leadership counselling sessions, online or phone-based sessions, written materials, reflective exercises, forms, communications, booking processes, digital resources, and related services operated by Center for Motivation Research.

In these Terms, “we”, “us” and “our” means Center for Motivation Research, an Australian incorporated non-profit organisation, ABN 84 109 838 718.

By accessing or using our website, booking a complimentary fit conversation, attending a leadership counselling session, purchasing or receiving access to any related service or resource, submitting a form, or otherwise using our services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our website, book a call, attend a session, purchase or access services, submit forms, access materials, or use our services.

1. Definitions

In these Terms:

“Booking” means any appointment, call, session, consultation, fit conversation, or scheduled meeting arranged with us.

“Content” means all text, images, graphics, logos, audio, video, written materials, session resources, reflective prompts, exercises, downloads, frameworks, design elements, software, and other material made available through our Website or Services.

“Digital Products” means any online material, downloadable resource, companion material, recording, workbook, reflective prompt, private access page, or other digital content made available by us.

“Fit Conversation” means a complimentary introductory call, usually around 15 minutes, designed to clarify whether Leadership Counselling is an appropriate container for your current leadership situation.

“Leadership Counselling” means the one-to-one reflective, formative, educational, advisory, and counselling-oriented support offered by us for leaders, founders, professionals, and responsible persons carrying questions of meaning, motivation, decision-making, responsibility, identity, relational pressure, vocation, and leadership formation.

“Session” means any one-to-one leadership counselling appointment, whether delivered by secure video, phone, or another agreed format.

“Services” means our Website, Bookings, Fit Conversations, Leadership Counselling sessions, Digital Products, newsletters, communications, support, forms, resources, and any related services.

“Website” means leadershipcounselling.com and any other website, landing page, platform, or digital property operated by us or used by us in connection with Leadership Counselling.

2. Acceptance of these Terms

You agree to these Terms by:

  • accessing or using our Website;
  • booking or attending a Fit Conversation;
  • booking, purchasing, receiving, or attending a Leadership Counselling session;
  • purchasing, receiving, or activating access to any Digital Product or related resource;
  • submitting any form, enquiry, testimonial, feedback, intake response, or support request;
  • participating in any call, session, online meeting, or related communication with us; or
  • otherwise using or interacting with our Services.

If you use the Services on behalf of an organisation, company, church, school, community group, institution, partnership, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Changes to these Terms

We may update these Terms from time to time. The updated Terms will apply from the date they are published on our Website, unless otherwise stated.

Your continued use of the Website or Services after updated Terms are published means you accept the updated Terms.

Where reasonably practicable, we may notify users of material changes. It remains your responsibility to review these Terms periodically.

4. Bookings, calls and session access

Some Services may require a Booking, registration, intake process, payment, access link, or platform login detail.

When you book a call, submit an enquiry, purchase sessions, or activate access, you may be required to provide personal information such as your name, email address, phone number, organisation name, billing information, role, leadership context, enquiry details, or other relevant information. You must ensure that all information you provide is accurate, current, and complete.

You are responsible for keeping your booking links, meeting links, access links, passwords, account credentials, and related details secure. You must not share, sell, transfer, publish, or otherwise make your access credentials available to another person.

You are responsible for all use of your account, access links, login credentials, registration details, and session access, except to the extent caused by our negligence or breach of law.

We may suspend or terminate access if we reasonably believe that login credentials, access links, meeting links, or account access have been shared, misused, obtained fraudulently, or used in breach of these Terms.

5. Age requirements

You must be at least 18 years old to book, purchase, or participate in Leadership Counselling, unless we expressly agree otherwise and you have the consent and supervision of a parent or legal guardian.

If a person under 18 uses our Website or Services, a parent or legal guardian is responsible for supervising that use and ensuring the minor’s use is appropriate.

We do not knowingly permit children under 13 to create accounts, book calls, or register for Services.

6. Nature of leadership counselling

Leadership Counselling is provided for reflective, formative, educational, advisory, leadership development, and counselling-oriented purposes.

The Services may include private conversation, reflective inquiry, leadership formation work, decision clarification, meaning and motivation work, practical planning, written prompts, session notes, follow-up reflections, or related materials connected with themes such as responsibility, vocation, difficult decisions, work, leadership pressure, moral clarity, self-leadership, organisational life, and the good of those entrusted to your care.

Leadership Counselling is not a crisis service. It is not intended to diagnose, treat, cure, prevent, or manage any medical, psychiatric, psychological, emotional, relational, financial, legal, or other condition.

Participation is voluntary. You are responsible for deciding whether Leadership Counselling, its questions, its reflective exercises, and its practical recommendations are appropriate for you, your organisation, and your circumstances.

7. No emergency or crisis service

Our Services are not an emergency, crisis, suicide prevention, domestic violence, medical, psychiatric, or urgent mental health service.

We do not monitor enquiries, emails, forms, bookings, or messages continuously and cannot guarantee an immediate response.

If you are experiencing a medical emergency, mental health crisis, risk of harm to yourself or another person, severe distress, violence, abuse, or urgent personal difficulty, you should contact emergency services or an appropriate qualified professional in your location immediately.

In Australia, emergency assistance can be obtained by calling 000.

8. No medical, legal or financial advice

Our Content and Services are not medical, psychological, psychiatric, legal, financial, taxation, investment, crisis, or emergency advice.

Unless expressly agreed in writing, Leadership Counselling is not a substitute for professional diagnosis, clinical treatment, psychotherapy, psychiatric care, legal advice, financial advice, accounting advice, workplace investigation, human resources advice, pastoral care, or emergency assistance.

Although the Services may discuss leadership pressure, stress, motivation, suffering, work, responsibility, vocation, relationships, decision-making, business direction, organisational life, and the meaning of your work, we do not promise or guarantee any particular emotional, psychological, spiritual, financial, relational, educational, organisational, behavioural, or leadership outcome.

You should seek appropriate professional advice before making decisions that may have significant legal, financial, medical, employment, organisational, or personal consequences.

9. Fit, suitability and scope

A Fit Conversation is designed to help clarify whether Leadership Counselling is an appropriate container for your current situation. It does not guarantee acceptance into an ongoing counselling arrangement.

We may decline to provide Services, recommend a different form of support, refer you to another professional, or end an engagement if we believe the Services are not suitable for your circumstances, needs, expectations, risk profile, or presenting concern.

You are responsible for providing accurate and relevant information about your circumstances so that we can make a reasonable assessment of suitability and scope.

We may discuss proposed session structure, frequency, fees, and practical next steps before any ongoing engagement begins.

10. Confidentiality and its limits

We take confidentiality seriously. Leadership Counselling is intended to provide a private space in which leaders can speak honestly about responsibility, meaning, difficulty, drift, pressure, decision-making, and relational impact.

We will take reasonable steps to keep your personal information, session details, and communications confidential, subject to these Terms, our Privacy Policy, legal obligations, and the practical limits of third-party platforms and online communications.

Confidentiality may be limited where:

  • we are required or authorised by law to disclose information;
  • there is a serious risk of harm to you or another person;
  • there is a risk involving a child, vulnerable person, abuse, violence, or unlawful conduct;
  • disclosure is reasonably necessary to obtain professional, legal, technical, administrative, accounting, or supervisory support;
  • disclosure is necessary to operate, administer, or protect our Services, rights, safety, or systems;
  • you provide consent for us to share information; or
  • information has already been lawfully made public or is otherwise not confidential.

You are responsible for choosing a private location for online or phone sessions and for protecting your own device, internet connection, email account, calendar, and meeting links.

11. Sessions, timing and attendance

Leadership Counselling is usually provided through one-to-one sessions via secure video or phone, unless another format is agreed.

Session length, frequency, format, fees, and engagement structure may vary. Unless otherwise stated, sessions are usually 50–60 minutes, and many engagements begin with an initial block of sessions.

You are responsible for attending sessions on time and ensuring that your internet connection, device, audio, video, and environment are suitable.

If you arrive late to a session, the session may still end at the scheduled time. Missed time may not be added or refunded.

We may reschedule a session where reasonably necessary due to illness, emergency, technical failure, platform outage, family emergency, professional conflict, or other circumstances beyond our reasonable control.

You must not record, screenshot, publish, redistribute, livestream, transmit, or share a session, session notes, meeting link, or private communication without our prior written permission.

12. Digital access and materials

When you purchase, register for, or receive access to Leadership Counselling resources, session materials, reflective prompts, notes, downloads, recordings, or any Digital Product, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the materials for your own personal, private, non-commercial use only, subject to these Terms.

This licence does not transfer ownership of any Content, Digital Product, recording, workbook, exercise, prompt, design, idea, method, framework, or intellectual property right to you.

Unless expressly authorised by us in writing, you must not:

  • copy, download, rip, record, reproduce, duplicate, broadcast, livestream, transmit, publish, upload, distribute, share, sell, resell, sublicense, or otherwise exploit the Services or any part of them;
  • share your login details, access link, meeting link, password, account, or private materials with any other person;
  • screen, show, display, exhibit, perform, or make available the Services, recordings, notes, prompts, or materials to any group, class, audience, organisation, institution, business, school, university, church, community group, retreat, counselling group, coaching group, leadership group, or public audience without our prior written permission;
  • use the Services or Content for commercial purposes, paid events, training programs, educational programs, workplace programs, professional programs, retreats, seminars, or conferences without our prior written permission;
  • edit, alter, remix, translate, adapt, subtitle, repackage, or create derivative works from the Services or related Content;
  • use the Services or Content for artificial intelligence training, machine learning, scraping, dataset creation, automated analysis, or data mining; or
  • circumvent, disable, interfere with, or attempt to bypass any access control, platform restriction, or security measure.

13. Prices, payments and taxes

Prices, fees, session packages, and payment terms may be discussed during or after a Fit Conversation, displayed on a checkout page, stated in writing, or otherwise agreed before a paid engagement begins.

You are responsible for reviewing the price, currency, session structure, access period, service description, and purchase terms before completing payment or confirming an engagement.

Payments may be processed by third-party payment providers. We do not control all aspects of third-party payment processing and are not responsible for delays, errors, declines, fees, exchange rates, or other issues caused by your bank, card issuer, payment provider, or third-party platform, except where required by law.

You are responsible for any applicable taxes, duties, currency conversion fees, bank fees, or other charges that may apply to your purchase.

14. Cancellations, rescheduling and refunds

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, statutory right, remedy, warranty, condition, or other right that cannot lawfully be excluded, restricted, or modified.

To the extent permitted by law, we do not offer refunds for change of mind, failure to attend a booked session, failure to use access during an access period, or dissatisfaction where the Service has been provided as described and is not faulty.

If you need to reschedule a session, you should notify us as early as reasonably possible. Rescheduling may be subject to availability and any cancellation or rescheduling policy communicated to you at the time of booking or engagement.

If you miss a session, cancel at short notice, or repeatedly reschedule, we may treat the session as used, pause the engagement, require payment before future sessions, or end the engagement, subject to any rights you have under Australian Consumer Law.

If a Service is faulty, not supplied as described, inaccessible due to an issue within our reasonable control, or otherwise fails to meet a consumer guarantee, you may be entitled to a remedy under Australian Consumer Law.

If you experience a technical access issue, you should contact us within a reasonable time and provide sufficient details for us to investigate, including the details used to book or purchase, date of booking or purchase, relevant service, device/browser used, and a description of the issue.

Where permitted by law, our liability for a failure to comply with a consumer guarantee may be limited to resupplying the relevant service or paying the cost of resupplying the relevant service.

15. User submissions and enquiries

If you submit information, ideas, proposals, messages, enquiries, testimonials, feedback, intake responses, leadership context, reflections, questions, or other material to us, you warrant that:

  • you have the right to submit that material;
  • the material is accurate to the best of your knowledge;
  • the material does not infringe any third-party rights;
  • the material is not unlawful, defamatory, misleading, confidential without authority, offensive, obscene, threatening, discriminatory, or otherwise inappropriate; and
  • you are not submitting the material for an unlawful or unauthorised purpose.

You grant us permission to use, store, review, copy, respond to, and internally share your submission for the purpose of assessing, responding to, administering, supporting, or acting on your enquiry, booking, participation, or relationship with us.

Unless we expressly agree in writing, you should not submit trade secrets, highly confidential business information, unpublished creative concepts, sensitive personal information, or third-party confidential information through general website forms, chats, booking forms, or email enquiries.

Submitting an idea, proposal, reflection, question, testimonial, or enquiry does not give you any ownership right, payment right, approval right, partnership right, or claim over any existing or future work, project, product, course, campaign, session, event, or business activity of ours.

16. Acceptable use

You must not use our Website, Content, Bookings, Digital Products, forms, platforms, or Services in any way that is unlawful, harmful, misleading, abusive, unauthorised, or inconsistent with these Terms.

You must not:

  • breach the privacy, intellectual property, contractual, moral, publicity, confidentiality, or other rights of any person;
  • upload, transmit, or distribute viruses, malware, worms, Trojan horses, spyware, malicious code, or harmful material;
  • attempt to gain unauthorised access to our systems, accounts, platforms, content, payment systems, forms, servers, databases, or networks;
  • interfere with, disrupt, damage, overload, scrape, crawl, copy, reverse engineer, or attempt to bypass the operation or security of our Website or Services;
  • use our Content or Services to defame, harass, threaten, abuse, mislead, impersonate, or unlawfully target any person;
  • post or transmit material that is defamatory, obscene, pornographic, racist, discriminatory, threatening, abusive, unlawful, or otherwise inappropriate;
  • use automated tools, bots, scrapers, crawlers, data-mining tools, or artificial intelligence systems to collect, copy, analyse, train on, or extract Content without our prior written permission;
  • use our Website, Content, Digital Products, Sessions, or Services for any commercial purpose not expressly authorised by us; or
  • misrepresent your identity, affiliation, authority, organisation, intentions, or relationship with us.

If we allow you to post, upload, submit, chat, comment, message, or transmit information through our Website, platforms, or Services, we may remove, moderate, refuse, restrict, or disable access to that material at our discretion.

17. Intellectual property

Unless otherwise indicated, we own or license all rights, title, and interest, including copyright, trade marks, designs, moral rights, confidential information, and other intellectual property rights, in the Website, Content, Leadership Counselling materials, recordings, session materials, workbooks, reflection prompts, exercises, frameworks, course materials, Digital Products, branding, design, software, and Services.

Your use of our Website, Content, Leadership Counselling materials, Digital Products, or Services does not transfer any intellectual property rights to you.

Except as expressly permitted by these Terms, by law, or by our prior written permission, you must not copy, reproduce, download, distribute, publish, display, perform, communicate, modify, adapt, translate, create derivative works from, sell, license, exploit, or commercially use any part of our Content, Digital Products, recordings, workbooks, session materials, or Services.

All rights not expressly granted are reserved.

18. Personal and non-commercial use

Unless we expressly agree otherwise in writing, our Website, Content, Leadership Counselling access, Digital Products, Sessions, and Services are provided for personal, private, non-commercial use only.

You must not use Leadership Counselling, Content, Digital Products, recordings, workbooks, prompts, exercises, session methods, or Services for advertising, commercial training, revenue generation, paid events, organisational programs, institutional use, educational delivery, public performance, commercial promotion, or other commercial purposes without our prior written permission or a separate written agreement.

19. Third-party platforms, services and links

Our Website and Services may use, link to, embed, or integrate with third-party services, including booking platforms, payment processors, video meeting platforms, email platforms, form providers, analytics providers, course platforms, membership platforms, hosting providers, social media platforms, and other technology suppliers.

We may also link to websites operated by third parties.

Third-party websites, platforms, tools, and services are not controlled by us. We are not responsible for their content, availability, security, privacy practices, terms, policies, fees, errors, downtime, or actions.

Your use of third-party platforms or services may be subject to their own terms and policies.

We provide third-party links and integrations for convenience and functionality. Unless expressly stated, a link or integration does not imply endorsement, sponsorship, or approval.

20. Privacy and collection notice

We collect personal information in order to provide and administer our Website, bookings, Fit Conversations, Leadership Counselling sessions, enquiries, contact forms, newsletters, purchases, access credentials, support, and related Services.

The personal information we collect may include your name, email address, phone number, billing details, organisation details, role, enquiry details, booking details, purchase history, account information, form responses, session participation details, technical information, and communications with us.

We may collect personal information through website forms, WPForms, booking forms, checkout pages, newsletter forms, intake forms, analytics tools, embedded video or meeting services, payment processors, email marketing systems, calendar platforms, and other service providers.

We may disclose personal information to third parties who help us operate our Website and provide our Services, including technology providers, payment processors, communication providers, form providers, hosting providers, analytics providers, professional advisers, contractors, booking platforms, and where required or authorised by law.

Some third-party providers may store or process information outside Australia.

If you do not provide requested personal information, we may not be able to provide all Website access, Bookings, Fit Conversations, sessions, support, registration, communications, or related Services to you.

Our Privacy Policy explains how we collect, use, disclose, store, protect, access, correct, and handle complaints about personal information. By providing personal information to us, you consent to our collection, use, storage, and disclosure of that information in accordance with these Terms and our Privacy Policy.

21. Direct marketing and communications

If you subscribe, purchase, book a call, submit a form, download materials, attend a session, or otherwise engage with us, we may send you transactional, service-related, administrative, and, where permitted, marketing communications.

You may unsubscribe from marketing communications using the unsubscribe link provided in those communications, where applicable.

We may still send you non-marketing communications where required or reasonably necessary, including booking information, session confirmations, purchase confirmations, support replies, legal notices, service updates, and account notices.

22. Website security and technical risks

We do not guarantee that our Website, platforms, downloads, embedded content, booking platforms, meeting platforms, or third-party services will be uninterrupted, secure, error-free, or free from viruses or harmful components.

You are responsible for taking your own precautions to ensure that your devices, systems, browsers, accounts, meeting spaces, and internet connections are secure and protected.

We are not responsible for loss or damage caused by viruses, malware, cyber incidents, platform outages, third-party service failures, user error, compromised accounts, unauthorised recording by another party, or unauthorised access outside our reasonable control, except where required by law.

23. Suspension and termination

We may restrict, suspend, or terminate your access to our Website, Content, Digital Products, Bookings, Sessions, accounts, forms, recordings, or Services if we reasonably believe that you have breached these Terms, misused access, infringed our rights, engaged in unlawful conduct, shared access credentials, made unauthorised public or commercial use of the Services, behaved abusively, or otherwise acted in a way that may harm us, our users, our partners, our platforms, or our rights.

We may also suspend or withdraw a Website, feature, Digital Product, resource, Booking, platform, or Service where reasonably necessary for maintenance, security, legal, technical, professional, commercial, platform, rights, or operational reasons.

Termination or suspension does not affect any rights or obligations accrued before termination, including payment obligations, intellectual property obligations, confidentiality obligations, session obligations, or liability for breach.

24. Warranties and disclaimers

To the maximum extent permitted by law, and subject to any non-excludable rights under Australian Consumer Law, we make no warranties or representations that:

  • the Website, Content, Leadership Counselling, Digital Products, Bookings, Sessions, recordings, or Services will be uninterrupted, secure, error-free, current, complete, or free from harmful components;
  • any particular outcome, result, transformation, emotional change, personal change, leadership result, organisational result, spiritual result, business result, or financial result will occur;
  • the Website, Content, Leadership Counselling, Digital Products, Bookings, Sessions, or Services will meet your personal expectations, preferences, circumstances, technical environment, or intended use; or
  • third-party platforms, payment systems, video platforms, booking platforms, meeting platforms, form providers, or hosting providers will always operate without interruption.

25. Limitation of liability

Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, warranty, condition, or liability that cannot lawfully be excluded, restricted, or modified.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic loss, loss of profit, loss of revenue, loss of opportunity, loss of goodwill, loss of data, business interruption, emotional distress, reputational harm, or other loss arising from or connected with your use of, participation in, or inability to use our Website, Content, Leadership Counselling, Digital Products, Bookings, Sessions, recordings, or other Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or the Services is limited to the amount you paid us for the relevant product, session, package, or service giving rise to the claim.

Where liability cannot be excluded but can be limited, our liability is limited, at our option, to resupplying the relevant service or paying the cost of resupplying the relevant service.

26. Indemnity

To the maximum extent permitted by law, you agree to indemnify us, our officers, employees, contractors, volunteers, agents, licensors, partners, and service providers against any loss, damage, cost, expense, claim, demand, liability, or proceeding arising from or connected with:

  • your breach of these Terms;
  • your misuse of the Website, Leadership Counselling, Content, Digital Products, session materials, recordings, access links, meeting links, or Services;
  • your unauthorised copying, sharing, distribution, public use, commercial use, or exploitation of the Services or Content;
  • your infringement of our intellectual property rights or the rights of any third party;
  • your unlawful, misleading, defamatory, harmful, abusive, or unauthorised conduct;
  • your submissions, enquiries, proposals, uploads, statements, reflections, intake responses, or representations to us or to third parties; or
  • your breach of any session, booking, partnership, affiliate, or other separate agreement with us.

27. Force majeure

We are not liable for delay or failure to perform an obligation where the delay or failure is caused by events beyond our reasonable control.

This may include acts of God, natural disasters, power failures, internet failures, cyber incidents, platform outages, third-party provider failures, strikes, pandemics, government action, legal restrictions, war, terrorism, civil unrest, equipment failure, illness, family emergency, venue issues, or other events outside our reasonable control.

28. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be severed to the extent necessary, and the remaining parts will continue in full force and effect.

29. No waiver

If we do not exercise or enforce a right under these Terms, that does not mean we waive that right.

A waiver must be in writing and signed by us.

30. Assignment

You must not assign, transfer, sublicense, or otherwise deal with your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights or obligations where reasonably necessary in connection with a restructure, change of platform, service provider arrangement, transfer of rights, merger, acquisition, or other organisational change, provided this does not reduce any non-excludable rights you have under law.

31. Governing law and jurisdiction

These Terms are governed by the laws of Victoria, Australia.

You submit to the non-exclusive jurisdiction of the courts exercising jurisdiction in Victoria, Australia.
